1. Introduction

Welcome to DENEMO™ Transport Management System (TMS). Our TMS is designed to streamline and optimize transportation operations. By using our TMS, you agree to these Terms and Conditions.

Our Services include: Route optimization, shipment tracking, fleet management, order management, reporting and analytics, and collaboration tools. Results may vary based on external conditions and data accuracy.

2. Acceptance of Terms

By accessing or using DENEMO™'s TMS, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, do not use the TMS. You agree to comply with applicable laws and to maintain accurate account information. You must not interfere with or abuse the service. All content is protected by intellectual property rights. Your use is subject to our Privacy Policy. The TMS is provided “as is”; DENEMO™ disclaims warranties to the fullest extent permitted by law. DENEMO™ may suspend or terminate access for violations. These terms are governed by the laws of Illinois, and disputes are subject to the exclusive jurisdiction of the courts of Illinois.

3. User Accounts

You must provide accurate, complete, and up‑to‑date information and safeguard your credentials. You are responsible for all activity under your account. Use strong passwords and notify DENEMO™ of any unauthorized use. Accounts may be suspended or terminated for violations. You consent to receive account‑related communications.

4. TMS Usage

The TMS may be used only for lawful, authorized business or personal transportation management. You may not use the TMS for unlawful, fraudulent, harassing, or abusive purposes; attempt unauthorized access; impersonate others; send spam; or disrupt services. Respect third‑party rights at all times.

5. Data Privacy

We collect and process data to provide and improve the TMS, including personal, order, shipment, fleet, and usage data. We use safeguards to protect data, retain it as necessary, and may use trusted service providers under confidentiality obligations. See our Privacy Policy for details and your rights.

6. Service Availability

The TMS may experience downtime for maintenance or due to technical issues. DENEMO™ does not guarantee continuous availability and is not liable for resulting losses. Back up your data regularly. We strive to communicate major maintenance or incidents.

7. Intellectual Property

All TMS content is owned by DENEMO™ or its licensors and protected by law. You receive a limited, non‑exclusive, non‑transferable license to use the TMS. You may not copy, distribute, modify, reverse engineer, or create derivative works except as permitted by law. By submitting content, you grant DENEMO™ a license to use it for providing services.

8. Payment and Billing (if applicable)

Pricing, billing cycles, and refund terms are as published or otherwise communicated. Subscriptions may renew automatically unless canceled per policy. Taxes may apply. DENEMO™ may suspend service for late payments.

9. Liability and Disclaimers

The TMS is provided “as is” and “as available” without warranties. DENEMO™ is not liable for indirect, incidental, special, consequential, or exemplary damages. Total liability is limited to amounts paid in the preceding twelve (12) months, to the extent permitted by law.

10. Indemnification

You agree to indemnify and hold DENEMO™ harmless from claims arising out of your use of the TMS, violation of these terms, or infringement of rights.

11. Termination

DENEMO™ may suspend or terminate accounts for violations, illegal activity, non‑payment, or as required by law. Upon termination, cease use and retrieve your data as available. Certain obligations survive termination.

12. Governing Law and Disputes

These terms are governed by the laws of Illinois. Disputes will be resolved in the courts of Illinois or, if mutually agreed, through binding arbitration administered by the American Arbitration Association. Proceedings must be on an individual basis; class actions are waived. English is the controlling language.

13. Changes to Terms

We may modify these terms by posting updates on www.denemo.us or via in‑app notice or email. Your continued use after the effective date constitutes acceptance. Changes are not retroactive.
